Reqsy Company / Client Agreement
This master agreement (the "Agreement") governs the relationship between Reqsy, LLC and the Client as a hiring company on the Reqsy platform.
1. Platform Purpose
Reqsy is a recruiting marketplace connecting companies with independent recruiters.
2. Job Posting Standards
Clients agree that posted jobs must be lawful, accurate, and truthful regarding compensation, expectations, and hiring terms.
3. Recruiter Protection & Non-Circumvention
Clients may not directly bypass Reqsy to:
- Hire recruiters privately
- Avoid fees
- Establish unauthorized direct recruiting relationships
Recruiter Conversion Fee. Direct recruiter engagement may require a $5,000 conversion fee unless otherwise approved.
4. Candidate Ownership
Candidates submitted through Reqsy are protected for one year from submission date for that client. Clients may not circumvent Reqsy through delayed hiring, alternate entities, or off-platform engagement.
If a client hires a Reqsy-submitted candidate through any channel within 12 months of submission, the full agreed placement fee is owed immediately plus a $5,000 circumvention penalty. All submissions are timestamped and logged as legal proof. Reqsy's determination of submission date is final.
5. Placement Fees
The placement fee is set by the client at the time of job posting. The minimum placement fee is 10% of the candidate's first year salary or $10,000 — whichever is greater. Reqsy retains a flat 20% of the agreed placement fee on every successful hire. The remaining 80% is paid to the recruiter. By posting a job the client agrees to the fee they have set and may not reduce or dispute it after a candidate has been submitted.
6. Confidentiality
Candidate and recruiter data must remain confidential.
7. No Guarantee
Reqsy does not guarantee candidate performance, recruiter quality, or hiring outcomes.
8. Enforcement
Circumvention may trigger:
- Full fee liability
- Legal action
- Platform termination
Clients have 30 days from the confirmed hire date to flag a dispute by contacting grace@goreqsy.com. Reqsy will review all submission records and platform activity and make a binding decision within 10 business days. Reqsy's decision is final.
9. Payment Terms
Clients agree to pay the confirmed placement fee within the payment terms they selected at the time of job posting — 30, 60, or 90 days from the confirmed hire date. Late payments are subject to a 1.5% monthly interest charge on the outstanding balance. Reqsy reserves the right to suspend the client's account and report late payments for any invoice unpaid after 90 days.
10. Invoice and Billing
Upon confirmed hire Reqsy will generate and send a professional invoice to the client's registered billing email address. Payment may be made by credit card or ACH bank transfer through Stripe. Clients agree to keep their billing information current and accurate.
11. Job Posting Accuracy
Clients are solely responsible for the accuracy of all job postings including but not limited to job title, salary, schedule, location, and requirements. Clients who post fraudulent, misleading, or materially inaccurate job listings may be immediately removed from the platform. Reqsy reserves the right to remove any job posting that does not meet platform standards.
12. Limitation of Liability
Reqsy is a marketplace facilitator only and is not a party to any hiring decision. Reqsy does not guarantee candidate performance, recruiter quality, time to fill, or hiring outcomes. Reqsy's total liability to any client shall not exceed the total fees paid by that client in the 3 months preceding any claim.
13. Agreement Updates
Reqsy reserves the right to update this agreement at any time with 30 days written notice sent to the client's registered email address. Continued use of the platform after 30 days constitutes acceptance of the updated terms.
14. Governing Law
Governed by Florida law.
